Grupa LOTOS is one of the largest companies in Poland.

It is an oil company, whose business consists in the extraction and processing of crude oil, as well as wholesale and retail sale of high-quality petroleum products.The Company produces and markets products such as unleaded gasoline, diesel oil, diesel oil for heating purposes (light fuel oil), aviation fuel and heavy fuel oil. Grupa LOTOS also specialises in the production and sale of lubricant oils and bitumens in Poland.

The main market served by the LOTOS Group is Poland. In 2011, the volume share of domestic sales in the LOTOS Group’s total sales reached 73.4%.

The 2011-2015 strategy provides for the consolidation of the LOTOS Group’s position as a strong, innovative and successfully developing entity, which plays a crucial role in ensuring Poland’s energy security and operates in compliance with the principles of social responsibility and sustainable growth.

Grupa LOTOS is a joint-stock company whose shares have been listed on the Warsaw Stock Exchange (WSE) since June 2005.

The LOTOS Petrobaltic S.A. company implements the strategic objectives of the LOTOS Capital Group in the area of exploration and production of hydrocarbons, namely to increase production in accordance with the priorities of the Polish energy policy and build a strong international exploration and production sector.

LOTOS Petrobaltic operates in the Polish economic zone of the Baltic Sea, and through its subsidiaries, conducts exploration and prospecting of hydrocarbons deposits and extraction of crude oil and natural gas in Norway and Lithuania.

LOTOS Petrobaltic licenses for exploration and prospecting of mineral deposits cover 5 areas with a total surface of 5337,3 sq km. They are in the eastern part of Poland’s marine basin.

The LOTOS Petrobaltic company, its subsidiaries and jointly controlled entities also hold four licenses for the extraction of minerals from the B3, B4, B6 and B8 field. Currently the B3 and B8 oilfields are operated and the B4 and B6 gas fields are being prepared for development.

LOTOS-Air BP Polska Ltd is a company within the LOTOS Group. The Company operations focus on domestic sales of JET-A1 aircraft fuel to end clients and middlemen, commencement of direct jet fuel sales to aircrafts and agency services regarding sales outside Poland. 

In June 2009, the Company completed the construction of Jet fuel terminal at Gdańsk Airport. The depot comprises four approved ground storage tanks, 100 000 dm3 each, destined for storing JET A-1 aircraft fuel. The depot personnel includes highly qualified employees with proper certificates.

President of the Board

Mr. Bialik is a graduate from the School of Economics in Cracow  (Faculty of Production Economics). He also completed post-graduate studies for managers under the auspices of Fachhochschule in Dortmund organized by Zachodniopomorska School of Managers in Szczecin as well as the School of Managers in Rzeszów.

Mr. Bialik has worked in the petrochemical business in Poland for almost 20 years, primarily  in the Podkarpacie region. He gained his professional experience at the Refinery in Jasło, where he was employed, initially as a Manager responsible for economic analysis and pricing, and later as the Director for Economic and Financial Affairs as well as the Director of Trade and Marketing. Since 2004 he has held management positions in different structures of the LOTOS Group, as a member of the supervisory boards and President of the Management Board of the LOTOS Park Technologiczny and the LOTOS Jasło/ LOTOS Infrastruktura.

Graduated from the Faculty of Economic Sciences of the University of Warsaw, the Faculty of Social Sciences and Administration of the Warsaw Academy of Computer Science, Management and Administration, and the University of Liverpool (a course in Management of the Gas and Oil Sector).

In 2006–2008, Member of the Management Board of PERN Przyjaźń S.A., in charge of Strategy and Operations. In 2006–2010, President of the Management Board of MPR Sarmatia. In 2013–2015, delegated by the Supervisory Board to serve as President of the Management Board of Gazoprojekt S.A.

In 1999–2007, he sat on the Supervisory Boards of WARS Sp. z o.o., RADPEC S.A., PERN Przyjaźń S.A., and Naftoport Sp. z o.o. From April to May 2016, he served as Member of the Supervisory Board of Grupa LOTOS S.A.

On May 13th 2016, appointed by the Supervisory Board of Grupa LOTOS S.A. to serve as Vice President, Chief Operating Officer, on the Management Board of the 9th term of office. On November 9th 2016, by a decision of the Supervisory Board, appointed as acting President of the Management Board.

On January 12th 2017, Marcin Jastrzębski resigned from his position as Vice President of the Management Board, Chief Operating Officer, and became President of the Management Board of LOTOS S.A. – a position he has held since.

In the period May 2016–February 2017, President of the Management Board of LOTOS Petrobaltic S.A.

In the past, Mr Jastrzębski was Honorary Consul of Georgia to Poland.

Mariusz Machajewski

Vice-President of the Management Board

Mr Machajewski has held the position of Vice-President of the Management Board of Grupa LOTOS S.A. since June 19th 2006, when he was appointed by the Supervisory Board to the Management Board of the sixth term. In 2009, 2012 and 2015 he was re-appointed Vice-President of the Board by the Company’s Supervisory Board.

As the Vice-President of the Management Board, Chief Financial Officer, directs and supervises the Company’s operations in the financial area.

Since 2006, he has served as Deputy Chairman of the Supervisory Board of LOTOS Paliwa Sp. z o.o., and since 2010 − as Chairman of the Supervisory Board of RCEkoenergia Sp. z o.o.

Mr Machajewski has also been member of the Supervisory Board of Stowarzyszenie Emitentów Giełdowych (Polish Association of Listed Companies) since 2013.

Mr Machajewski is a graduate of the Faculty of Economics at Gdańsk University. He also attended a number of courses in management and economics in Poland and abroad.

In 1994−1997, he worked at Stocznia Gdynia S.A. (Gdynia Shipyard). In 1997, he joined Grupa LOTOS S.A. (formerly Rafineria Gdańska S.A.), where he was placed in charge of the Company’s controlling functions in 1999. Since mid-2002, he has held the position of Chief Financial Officer. From April 2005 to June 2006, he also served as the Company’s commercial proxy. Appointed to the Management Board in June 2006. He was involved in the Company’s internal restructuring, which led to the creation (in 2005) of the Finance and Accounting Centre, a body primarily intended to provide accounting services to Grupa LOTOS S.A. and its subsidiaries. He assisted in preparations before the floatation of Grupa LOTOS shares on the Warsaw Stock Exchange on June 9th 2005. Mr Machajewski played an instrumental role in formulating and arranging the financing framework for the 10+ Programme. The credit facility executed in June 2008 to finance the 10+ Programme was the largest transaction in the Company’s history. It was declared transaction of the year in the European oil industry and named the Best Financing Project of the year by a number of prestigious specialist journals. Mr Machajewski prepared and oversaw the implementation of the cost-cutting Package of Anti-Crisis Measures (2009) and the efficiency-enhancement and cost-cutting Optimal Expansion Programme (2012). In charge of restructuring processes, he is responsible for the implementation of the LOTOS Group’s development and capital restructuring programme: ‘Efficiency and Growth 2013−2015’, and oversees the exercise of corporate supervision at subsidiary companies. He supervised the processes of share capital increase at the Company carried out in 2014 and development of the framework for arranging financing for the ongoing ‘EFRA − Effective Refining’ Project.

Leader with years of experience in international management and strategic advisory for top industrial companies and financial institutions across Europe (including Poland), Africa and the Middle East.
Alumnus of the Warsaw School of Economics (2004), studied at Al Akhawayn University
in Morocco. Has a PhD in Economics (summa cum laude, ALK 2009). Author of publications and presenter at international conferences. Among others completed a Financial Analyst and a Securities Broker course; participated in numerous specialized trainings at McKinsey & Company and internal senior management development programs at Deutsche Bank AG. Had internships at Deloitte & Touche and MARSH.
Worked at McKinsey and Company (2004-2010) as a Consultant and Associate on projects in a range of countries, then joined Peppers and Rogers Group Middle East in the UAE as a Manager
(2010-2012), and lately was a Director at Deutsche Bank AG (most recently at Group Management Consulting) in Frankfurt am Main, Germany (2012-2016).
Designed and implemented strategic change in corporations, not only in Poland, but also among others in Czech Republic, Great Britain, Italy, United Arab Emirates, Saudi Arabia, Bahrain, Belgium, South Africa and Turkey. Led global projects and coordinated teams simultaneously on multiple continents.
Speaks English fluently (International Baccalaureate at the 3rd LO in Gdynia, working in English for many years). Has a good command of German (worked in DB AG, Frankfurt am Main). Jarosław Kawula

Vice-President of the Management Board

Mr Kawula has held the position of Vice-President of the Management Board of Grupa LOTOS S.A. of the ninth term since January 12th 2016 .

Mr Jarosław Kawula holds Master of Science in Engineering and Ph.D. in Chemistry degrees from the Gdańsk University of Technology (the Faculty of Chemistry and the Faculty of Management and Marketing). He also holds an MBA degree from the Gdańsk Foundation for Management Development. Since beginning of his professional career, Mr Kawula has been working for Grupa LOTOS S.A.’s Gdańsk refinery, holding management positions connected with crude oil processing and production control.

Piotr Ciach

Mr Ciach has served on the Supervisory Board of Grupa LOTOS S.A. since December 22nd 2016, as a Member of the Supervisory Board of the ninth term of office. On June 14, 2017, he was appointed by the Annual General Meeting of Grupa LOTOS S.A. to the composition of the Supervisory Board of tenth term of office.

Graduate of the Faculty of Law at the Maria Curie-Skłodowska University of Lublin. He completed the MBA programme organised by the Gdańsk Foundation for Management Development in association with the IAE Aix-en-Provence Graduate School of Management. He serves as Division Head at the Supervision Department of the Polish Ministry of Energy.

At present, he serves as member of the supervisory board at Spółka Restrukturyzacji Kopalń S.A. Katarzyna Lewandowska

Ms Lewandowska has served on the Supervisory Board of Grupa LOTOS S.A. since January 27th 2016, as a Member of the Supervisory Board of the ninth term of office. On June 14, 2017, she was appointed by the Annual General Meeting of Grupa LOTOS S.A. to the composition of the Supervisory Board of tenth term of office.

Graduate of Warsaw School of Economics. Since 1996, she has been employed at the Ministry of Treasury, where she has gained extensive experience in owner supervision of companies across a number of industries, including defence companies, operators of key Polish seaports, operator of the national lottery (state-run monopoly), and coal mining companies. At present, she holds the position of Deputy Head of the State Treasury Department at the Chancellery of the Prime Minister.

Ms Lewandowska comes with long-standing experience in corporate law and corporate governance, also gained on supervisory bodies of commercial companies. Currently, she is the Chairperson of the supervisory board of PZU S.A.

Agnieszka Szklarczyk-Mierzwa

Ms Szklarczyk-Mierzwa has served on the Supervisory Board of Grupa LOTOS S.A. since June 28th 2016, as a Member of the Supervisory Board of the ninth term of office. On June 14, 2017, she was appointed by the Annual General Meeting of Grupa LOTOS S.A. to the composition of the Supervisory Board of tenth term of office.

Graduate of law at the Jagiellonian University in Kraków (Faculty of Law and Administration, 2004), and National School of Public Administration in Warsaw (2007). Legal counsel, completed training at the Regional Chamber of Legal Counsels of Warsaw.  In 2007−2009, she worked as chief specialist at the Department of International Cooperation and European Law at the Ministry of Justice. In 2009−2015, she was chief specialist at the Oil and Gas Department at the Ministry of Economy. At present, she serves as Head of the Oil and Gas Department at the Ministry of Energy. Ms Szklarczyk-Mierzwa has experience in international public and private law, EU law, as well as business and energy law, with particular expertise in regulations governing fuel security and cooperation in this area.

Mariusz Golecki

Mr Golecki has served on the Supervisory Board of Grupa LOTOS S.A. since June 28th 2016, as a Member of the Supervisory Board of the ninth term of office. On June 14, 2017, he was appointed by the Annual General Meeting of Grupa LOTOS S.A. to the composition of the Supervisory Board of tenth term of office.

PhD in law, professor and Head of Cognitive Research on Law at the University of Łódź (Law and Administration Faculty). His field of expertise covers economic and behavioural analysis of law, comparative law and theory of law. Since 2011, he has worked as lecturer at the Warsaw School of Economics (European Master in Law and Economics programme) and has been a member of the management board of the Polish Association of Law and Economics.

Graduate of Faculty of Law and Administration, University of Warsaw (1998), and Faculty of Law, the University of Cambridge (Trinity College, 2002).  In 1998−2000, Mr Golecki served as adviser at the Ministry of Culture and Fine Arts/National Heritage. In 2000 and 2001, he worked as expert at the Programme Department of the Prime Minister Chancellery and the Ministry of Finance. In 2002–2003, Mr Golecki was a European Commission scholar at the Institute of Law and Economics, University of Hamburg, in 2004–2008 he worked as assistant professor at the Economics Department of the Wyższa Szkoła Biznesu - National Louis University in Nowy Sącz, and in 2008–2009 he was a visiting professor at the Centre for European Legal Studies of the Law Faculty at the University of Cambridge.  In 2010, he was a visiting professor at the International Christian University of Tokyo and held the Jean Monnet Chair for EU Law at the Keio University in Japan.  In 2013−2014, Mr Golecki was also a visiting professor at the Faculty of Law of the University of Debrecen, Hungary.

 In 2015–2017, he worked as attorney-at-law at the Warsaw Bar Association, and since January 2017,  he has been a Counsel at Prokuratoria Generalna Rzeczypospolitej Polskiej. In 2016–2017, Director of the Legal Department of the Polish Ministry of Finance. Since January 2017, Mr Golecki has worked as Head of the International and European Law Department at PGRP. In 2016–2017, he served as Deputy Chairman of the Polish delegation in Working Group V of the United Nation Commission on International Trade Law (UNCITRAL). Since October 2016, he has been Chairman of the Tax Evasion Board at the Ministry of Finance and Development.

Mr Lewandowski has gained professional experience working for banking and financial institutions (PEKAO S.A., BOŚ S.A., Bank Polskiej Spółdzielczości S.A. and Krajowy Depozyt Papierów Wartościowych S.A. − the central securities depository). In 2006−2009, he was Executive Director of the CEO Division, Company Office Director responsible for supporting PGNiG corporate bodies, and HR Office Director. In 2013−2015, he was Head of the HR Department at PGNiG S.A. Since 2016, he has headed the Enterprise Management Division at PGNiG Termika S.A.

According to the representations made by the new members of the Supervisory Board of Grupa LOTOS S.A., they are not entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, they are not involved in any activity competing with Grupa LOTOS S.A.'s business, neither are they partners in any partnerships, or members of corporate bodies of any corporations, or members of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

Dariusz Figura

Ms Beata Kozłowska-Chyła holds a PhD degree in law and is a lecturer at the Faculty of Law and Administration of the University of Warsaw, from which she graduated. In 1994−1997, she completed legal training, obtained formal qualifications as legal counsel and was entered in the list of legal counsels maintained by the District Chamber of Legal Counsels in Warsaw. In the course of her career, she served as acting Director of Przedsiębiorstwo Państwowe Uzdrowisko Konstancin of Konstancin-Jeziorna, a state-owned medical spa company. She also worked as Deputy Head of the Legal and Licensing Department at the Pension Fund Supervisory Authority (UNFE). Ms Kozłowska-Chyła served as adviser to the Minister of Finance. She was a member of the supervisory board of PZU SA (Poland's leading insurance group), and then a member of its management board. She also served as member of the supervisory boards of investment fund management company TFI PZU SA and pension fund company PTE PZU SA, and also as member of the supervisory board of Polish national television Telewizja Polska S.A. She provided legal advisory services at the Legal Counsel's Office. Since 2010, she has been a Recommended Arbitrator at the Arbitration Court of the Polish Chamber of Commerce in Warsaw. She has authored numerous publications on company law, securities law, ownership transformation and privatisation of state-owned enterprises. She has also prepared expert legal opinions commissioned by the Polish Parliament, including on a draft bill on financial market supervision. She has a teaching job at the Faculty of Law and Administration of the University of Warsaw.
