Date and Agenda for the Annual General Shareholders Meeting of Grupa LOTOS S.A.

Acting pursuant to Art. 399.1 of the Commercial Companies Code and Par. 8.1–4 and Par. 8.6 of the Company’s Articles of Association, the Management Board of Grupa LOTOS S.A. of Gdańsk hereby convenes the Annual General Shareholders Meeting of Grupa LOTOS S.A., to be held on June 19th 2006, 11am, at the Holiday Inn Hotel, ul. Podwale Grodzkie 9, Gdańsk, Poland. Agenda of the Meeting: 1. Opening of the Meeting. 2. Election of the Chairman of the Meeting. 3. Confirmation that the Meeting has been validly convened and has the capacity to adopt resolutions. 4. Approval of the Meeting’s agenda. 5. Review of the Company’s financial statements for the year ended December 31st 2005 and of the Directors’ Report on the Company’s operations in the year ended December 31st 2005. 6. Review of the consolidated financial statements of the LOTOS Group for the year ended December 31st 2005 and of the Directors’ Report on the LOTOS Group’s operations in the year ended December 31st 2005. 7. Review of the Supervisory Board’s reports for the year ended December 31st 2005. 8. Approval of the Company’s financial statements for the year ended December 31st 2005 and of the Directors’ Report on the Company’s operations in the year ended December 31st 2005. 9. Approval of the consolidated financial statements of the LOTOS Group for the year ended on December 31st 2005 and of the Directors’ Report on the LOTOS Group’s operations in the year ended December 31st 2005. 10. Distribution of profit for the year ended December 31st 2005. 11. Approval of discharge of duties by members of the Company’s Management Board in the period January 1st–December 31st 2005. 12. Approval of discharge of duties by members of the Supervisory Board in the period January 1st–December 31st 2005. 13. Grant of the annual bonus to the President of the Management Board for 2005. 14. Approval of the Management Board’s amended Statement on compliance with corporate governance principles at the Company. 15. Closing of the Meeting. Supplementary information: 1. Holders of registered shares have the right to participate in the Meeting on condition that they are entered into the share register at least a week prior to the date of the Meeting. 2. Bearer shares carry the right to participate in the Meeting on condition that a deposit certificate, issued by the entity keeping the securities account (pursuant to Art. 9.3 of the Act on Trading in Financial Instruments) is submitted at the Company’s registered office at ul. Elbląska 135, Gdańsk, Poland, between 8am–3pm at least a week prior to the date of the Meeting (i.e. by June 12th 2006); the deposit certificate should provide that it has been issued with the aim of submitting it to the Company in connection with the Meeting and that the shares will remain blocked until the closing of the Meeting. The legal basis for the Current Report is Par.1.1 of the Regulation of the Polish Minister of Finance on current and periodic information to be published by issuers of securities, dated October 19th 2005.
