Merger between Grupa LOTOS S.A. and LOTOS Partner Sp. z o.o.

The Management Board of Grupa LOTOS S.A. hereby reports that on June 29th 2007, the District Court for Gdańsk-Północ in Gdańsk, VII Commercial Division of the National Court Register, issued a decision on registering a merger between Grupa LOTOS S.A. and LOTOS Partner Sp. z o.o. The two companies were merged pursuant to Art. 492.1.1 of the Commercial Companies Code, by way of a transfer of all assets in LOTOS Partner Sp. z o.o. (the acquiree) to Grupa LOTOS S.A. (the acquirer). Grupa LOTOS S.A. is an oil concern engaged in the exploration and production of crude oil, operating state-of-the-art oil processing facilities with annual throughput capacity exceeding six million tonnes, and enjoying a strong position on the domestic market of fuel distribution thanks to its extensive network of service stations. The business of LOTOS Partner Sp. z o.o., a wholly-owned subsidiary of Grupa LOTOS S.A., focused on the supply of fuels to institutional customers, especially networks of retail service stations operated by foreign concerns active on the Polish market. The company is also engaged in distribution of the JET-A1 aviation fuel.
