In reference to Current Report No. 3/2006 of January 9th 2006, concerning the rules for conversion of registered shares into bearer shares, the Management Board of Grupa LOTOS S.A. hereby reports that the Management Board of Warsaw Stock Exchange S.A. (WSE) decided (by virtue of Resolution No. 201/2006 of June 23rd 2006) to introduce to stock-exchange trading 8,250 Series A ordinary bearer shares of Grupa LOTOS S.A. with a par value of PLN 1 per share, bearing the following ISIN Code assigned by the Polish National Depository for Securities S.A. (NDS): PLLOTOS00033. The shares will be introduced to trading on the main market, on July 4th 2006, by way of the ordinary procedure. The WSE resolution shall come into force if the Polish NDS converts the above registered shares of Grupa LOTOS S.A. into ordinary bearer shares on July 3rd 2006 and assimilates them with the company shares already listed on the stock exchange under ISIN code PLLOTOS00025 on July 4th 2006.
