In relation to the restructuring of fuel sales in the company and in relation to the information provided in the Prospectus, the Management Board of Grupa LOTOS SA hereby reports that as at 15 September 2005 the contract of commercial co-operation of 13 February 2002 between Grupa LOTOS SA and Przedsiębiorstwo Budowlano – Handlowe Z. Niziński with its seat in Wyszków was dissolved by mutual agreement. The subject matter of the contract was the sale of liquid fuels. The reason for the dissolution of the contact is the transfer of fuel wholesale selling from Grupa LOTOS SA to its subsidiary LOTOS Paliwa Sp. z o.o. in accordance with the principles of the sales restructuring in Grupa LOTOS S.A. as described in the Prospectus. This process is implemented through the dissolution of contracts between Grupa LOTOS SA and its wholesale customers, which have been binding hitherto, and their replacement with contracts with LOTOS Paliwa Sp. z o.o. In view of this, no significant financial effects of the contract dissolution in the consolidated Group context are anticipated.
