The Management Board of Grupa LOTOS SA informed that on 3 October 2005, LOTOS Lab Sp. z o.o. (controlled by Grupa LOTOS SA in 100%) and Rafineria Jasło S.A. entered into an agreement for the acquisition of a 100% stake in Laboratorium "Badacz" Sp. z o.o. with registered seat in Jasło. Rafineria Jasło S.A., which has a 100% shareholding in Laboratorium "Badacz" Sp. z o.o. with registered seat in Jasło, is controlled by Grupa LOTOS SA in 80.01%. The agreement was concluded for the acquisition of 519 shares with nominal price of PLN 500 each, total nominal value of PLN 259,500. The transaction has the total value of PLN 327,300 and will be financed in its entirety from LOTOS Lab's own funds. Under the agreement, a blank bill will be issued to Rafineria Jasło S.A. as security and LOTOS Lab will effect the payment in two instalments by 27 December 2005. LOTOS Lab's acquisition of shareholding in Laboratorium "Badacz" is a part of Grupa LOTOS SA's consolidation programme described in the Group's Issue Prospectus. The shareholding in Laboratorium "Badacz" has been classified as financial assets of substantial value - it exceeds 20% of the initial capital of an entity whose shares constitute the financial assets of the Issuer's subsidiary.
