The Management Board of Grupa LOTOS SA hereby reports that as at 14 September 2005 a significant contract was entered into between Rafineria Jasło S.A. (a subsidiary with 80.01% of its shares held by Grupa LOTOS SA) and LOTOS Mazowsze S.A. (a subsidiary with 100% of its shares held by Grupa LOTOS SA) concerning the sale of liquid fuels to LOTOS Mazowsze S.A. The contract was concluded for an indefinite period of time. The estimated value of the contract over the period of 5 years amounts to PLN 600,000 thousand. The contract provides that by the end of 2005 the fuels shall be sold by particular fuel assortments on a monthly basis, divided according to the collection point and the structure of supplies realisation with the excise- tax-paid system. Pursuant to the contract, in the case of a failure to receive or supply at least 90% of the order, the defaulting party shall pay contractual penalty of PLN 20 for each cubic metre of fuel in a given month. As at 14 September 2005, the contract of sales between Rafineria Jasło S.A. and LOTOS Mazowsze S.A. of 19 January 2005 is dissolved. The contract referred to above is considered significant due to its value in excess of 10% of own capital of Grupa LOTOS SA. The value of the contract in PLN thousand: 600,000.00
