Appointment of supervisory persons – supplementary information

In order to supplement the information furnished in Current Report No. 7/2006 of January 30th 2006, pursuant to Par. 5.1.22 of the Minister of Finance’s Regulation on current and periodic information to be published by issuers of securities of October 19th 2005 (Dz.U. No. 209 of 2005, item 1744), the Management Board of Grupa LOTOS SA hereby publishes information on the qualifications and professional experience of the new members of the Supervisory Board of Grupa LOTOS SA, along with a description of their professional career. 1. Jan Szomburg – Chairman of the Supervisory Board Ph.D. in economics conferred by the University of Gdańsk; in 1974–1990, a scholar, instructor and lecturer at the Transport Economics Faculty of the University of Gdańsk. Co-author of the First General Privatisation Programme, and since 1991 a member of the Steering Committee of the General Privatisation Programme. A co-founder and later the president of the Management Board of Instytut Badań nad Gospodarką Rynkową (Gdańsk Institute for Market Economics). In 1990–1994, the Chairman of the Council of Polski Bank Rozwoju (Polish Bank of Development). Concurrently, in 1991–1993, an advisor to the Minister of Ownership Transformations. Until 1996, a member of the Ownership Transformation Council of the President of the Polish Council of Ministers; then the Chairman of the Council. In 1997–1998, an advisor to the government under Prime Minister Jerzy Buzek. Since 2000, a member of the Government’s Regional Policy Council and Social and Economic Strategy Council of the Prime Minister. In 2005, an initiator of Kongres Obywatelski (Civic Congress) and Polskie Forum Obywatelskie (Polish Civic Forum). In 1999, awarded the Gold Cross of Merit for scholarly achievements. An author of numerous publications on economic transformations. A member of the Supervisory Boards of Nafta Polska SA (1998), Stalexport SA (1998–2001), PTE PZU SA (1998–2002) and BRE BANK SA (since1998). 2. Jacek Tarnowski – Member of the Supervisory Board A graduate of the Transport Economics Faculty of the University of Gdańsk. In 1989–1992, head of the Foreign Bureau of KK NSZZ Solidarność. A founder and Economics Director of Radio Plus Gdańsk in 1992–2004. Later, the President of the Management Board of Pomorski Fundusz Pożyczkowy (Pomeranian Borrowing Fund). Currently, Head of the Office of Prime Minister Kazimierz Marcinkiewicz. A member of the Supervisory Boards of Radmor and Word Trade Center Gdynia (1998–2002), Porozumienie Programowe Stacji Radiowych PLUS, and Telewizja Amber (2001–2002). For a month now he has served on the Supervisory Board of the Industry Development Agency (Agencja Rozwoju Przemysłu) as a representative of the Ministry of State Treasury. In 2002, a member of the City Council of Sopot, Chairman of the Council’s Economic Policy Commission and member of the Culture Commission and Legal Compliance Commission. Since 1995, Honorary Consul of the French Republic in Trójmiasto (Gdańsk-Gdynia-Sopot). A member of the Polish Association of Maltese Knights (Związek Kawalerów Maltańskich). 3. Henryk Siodmok – Member of the Supervisory Board In 1996, successfully completed his MBA programme. In 2003, received Ph.D. from the Warsaw School of Economics. Director of the Development Division for Eastern Europe in Tenneco Automotive in 1996–1997, then the President of the Management Board of Fabryka Lin i Drutu Drumet SA until 2000; resigned to become the President of the Management Board of Carman Polska Sp. z o.o. In 2003, appointed the Vice-President of the Management Board of US Pharmacia Sp. z o.o. and Head of Sales, Finance, HR, IT, Development and Administration at that company. In 2004, the President of the Management Board of Power Media Sp. z o.o. A member of the Supervisory Board of Tenneco Automotive Polska (1996–1997). 4. Jan Stefanowicz – Member of the Supervisory Board A graduate of the Law Faculty of the Nicolaus Copernicus University of Toruń, a legal counsel and lawyer, lecturer in commercial and civil law. In 1998, co-founder of the Kancelaria Juris legal office; a partner in that office since then. In 1989–1992, the Chairman of the National Commission of the Council of Legal Counsels. Since 1992, a member and then the Chairman of the Commercial Law Commission at the Polish Adam Smith Centre; provided legal services to Minister Jerzy Olechowski’s Team for the Restructuring and Privatisation of the Oil Sector. In 1994–1999, a legislative issues expert at BCC. A co-author of the Constitution of the Republic of Poland, author of bills, legal opinions and studies mandated by, inter alia, the Office of the President of the Republic of Poland, Office of the Sejm (lower chamber of the Polish Parliament, Office of the National Security Committee, Ministry of Foreign Affairs, Jurisdiction Institute and Ministry of Justice, and Open-Pit Mining Institute. An author of numerous publications in law. A member of the Council of the Ius et Lex Foundation. 5. Grzegorz Szczodrowski – Member of the Supervisory Board Ph.D. in economics conferred by the University of Gdańsk; since 1994, a scholar at the Chair of Economic Policy of the University of Gdańsk; in 1994, a post-graduate apprentice at Agder College (Norway); since 1997, a scholar, instructor and lecturer at Gdańsk School of Banking, lecturer at Gdańsk Foundation for Management Development and the Bogdan Jański Academy of Warsaw (Field Branch in Elbląg). A member of the Faculty Council at the Faculty of Economics of the University of Gdańsk in 1999–2002 and then since 2005. An author of numerous books on system transformation and economic transformations, as well as numerous scientific papers. A member of the Association of Polish Economists. An organiser of the Conference on Natural and Unnatural Monopolies (1996), the Polish Congress of Economic Policy Faculties (1994), the Young Scholars and Students’ Conference on Economic Policy in Theory and Practice (2000); a moderator at the Forum for Entrepreneurship’s conference on the Transformations and Prospects of the Polish Economy (2002); a co-organiser of The 8th Conference of Young Economists: “Unification of European Economies: Opportunities and Threats” (2003) and “Enterprise and its Environment: Changes and Prospects” (2004). In 2005, the Chairman of the Organising Committee of 11th Scholarly Conference of Young Economists (KNME) on Development and Economic Policy of Poland in the EU.
