Changes to the composition of the Supervisory Board of Grupa LOTOS S.A.

The Management Board of Grupa LOTOS S.A. (the Company) announces that by a resolution of the General Meeting from 27th of January the following persons were removed from the Supervisory Board of the ninth term of office (the Supervisory Board): Mr Wiesław Skwarko (Chairman), Ms Agnieszka Trzaskalska (Deputy Chairperson), Mr Oskar Pawłowski (Secretary), and members: Ms Małgorzata Hirszel and Mr Michał Rumiński.

Further, the following persons were appointed to the Supervisory Board: Mr Robert Pietryszyn (Chairman), Mr Dariusz Figura, Ms Katarzyna Lewandowska, Mr Cezary Krasodomski, and Ms Maria Sierpińska.

Mr Robert Pietryszyn

Mr Pietryszyn received his master's degree in law from the Faculty of Law, Administration and Economics at Wrocław University. Holds an MBA degree and completed a postgraduate corporate management programme at Wrocław University of Economics.

He began his career as an attorney-in-fact at Kronn Sp. z o.o., where in 2002−2004 he managed financial risk (purchase of receivables); also performed activities relating to business representation (acquired several large accounts).

In 2004–2006, Mr Pietryszyn served as consultant/project manager at PROFES Capital Sp. z o.o., where he was involved in investment banking transactions: corporate restructurings, acquisitions, financing (Polcolorit SA), turnaround management.

In 2006, Mr Pietryszyn was employed as expert at PKO BP S.A. where he worked on optimising the bank's operations and cost restructuring. Also in 2006 he served as member of the management board of Dolfamex sp. z o.o., in charge of business organisation and strategy.

In 2006–2008, Mr Pietryszyn worked at the KGHM Polska Miedź Group.

In 2008–2011, as self employed, Mr Pietryszyn offered business advisory services, including business restructuring advisory, strategy consulting, and marketing.

In 2011-2106, Mr Pietryszyn has served as CEO of Wrocław 2012 Sp. z o.o. (Wroclaw Stadium), where he has supervised investment processes (the largest project in the post-war history of Wrocław – PLN 900m), strategy and operations.

Since January 2016: Member of the Management Board of PZU S.A.

From December 2015 to January 2016: Member of the Supervisory Board of Grupa LOTOS S.A. Previously Mr Pietryszyn served on supervisory boards of the following companies: Dolmed S.A., Polcolorit S.A. (a company listed on the Warsaw Stock Exchange), Wrocław 2012 Sp. z o.o., Radio Mercury S.A.  (Chairman), WKS Zawisza Bydgoszcz S.A., PGE Dystrybucja Rzeszów Sp. z o.o. (Chairman), Ruch S.A.  (Chairman, a company listed on the Warsaw Stock Exchange), and Pri Basalt S.A. (Deputy Chairman).

According to his representation, Mr Robert Pietryszyn has not been entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, he is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is he a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

 

Mr Dariusz Figura

Graduate of Warsaw University of Technology (Faculty of Electronics and Information Technology), completed an Executive MBA programme at Warsaw Business School of Warsaw University of Technology (joint programme, with HEC Paris, London Business School and the Norwegian School of Economics)

Mr Figura has spent his entire professional career to date working in the private sector, including at large international corporations and as a UNIDO consultant.

Currently, he serves as a vice president at a medium-sized Polish IT company, in charge of finance, IT maintenance and risk management.

Mr Figura completed a number of training programmes in financial management, strategic management and project management.

According to his representation, Mr Dariusz Figura has not been entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, he is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is he a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

Ms Katarzyna Lewandowska

Graduate of Warsaw School of Economics. Since 1996 employed at the Ministry of Treasury, where she has gained extensive experience in owner supervision of companies across a number of industries, including defence companies, operators of key Polish seaports, operator of the national lottery (state-run monopoly), and coal mining companies.

Ms Lewandowska comes with long-standing experience in corporate law and corporate governance, also gained on supervisory bodies of commercial companies.

Currently, she serves as Deputy Chairperson on the Supervisory Board of WĘGLOKOKS S.A.

According to her representation, Ms Katarzyna Lewandowska has not been entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, he is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is he a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

Mr Cezary Krasodomski

Education: MEng civil engineering, graduate of the Faculty of Civil Engineering, Warsaw University of Technology. Mr Krasodomski holds professional qualifications in design and construction engineering. Qualified to serve on supervisory boards of state-owned companies.

In 1990–1991: Arak, Iran, construction of a petrochemical complex, Site Engineer. Worked on construction of Olefins Plant, feedstock and product tanks, pipelines, buildings, control rooms, laboratories, etc. In 1992–1993: COBPKM Mostostal, Deputy Project Manager, construction of a plant for RJR Reynolds Intl. in Piaseczno. In 1993–1996: Shell Poland, Project Engineer. In 1996–2000: Shell Poland, Head of Service Station Network Technical Maintenance. In 2000–2005: Shell Europe Oil Products, Project Manager. Restructuring of the Shell service station network in Europe. In 2005–2006: PGE Energetyka Odnawialna, wind farm project manager. In 2006: Operator Logistyczny Paliw Płynnych, Capital Goods Purchasing Manager. In 2006–2012: Cisco Systems, Infrastructure Manager, Central and Eastern Europe. In 2009–2012: Co-chair of the Committee for Small and Medium-Sized Enterprises of the American Chamber of Commerce in Poland, Member of the Committee of Infrastructure. Since 2013: self employed.

According to his representation, Mr Cezary Krasodomski has not been entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, he is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is he a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

Ms Maria Sierpińska

Professor, Cracow University of Economics

Member of the following professional organizations: Committee on Financial Sciences of the Polish Academy of Sciences, Scientific Society for Organization and Management, Polish Economic Society, Academic and Economic Association for Metallurgy.

Since 1974: faculty member at Cracow University of Economics. 1974–1982: assistant at the Department of Economics and Organization of Metallurgy; 1982–1996: assistant professor at the Department of Economics and Organization of Enterprises; 1996–2003: associate professor at the Department of Economics and Organization of Enterprises; since 2003: professor the Department of Economics and Organization of Enterprises. In 1996-2013 associate professor at AGH University of Science and Technology Cracow. Since 2000 rector at the University of Finance and Management in Warsaw.

Author of a number of publications, economical handbooks, articles and working papers. Phd thesis’ promoter.  

Qualified to serve on supervisory boards of state-owned companies and experienced in coordinating scientific teams conducting statutory research and grants.
