Appointment of Grupa LOTOS S.A. Supervisory Board of 11th term of office

The Management Board of Grupa LOTOS S.A. (the “Company”) announces that on June 30th 2020, following the end of the 10th term of office and the expiry of the mandates of members of the Company’s Supervisory Board, the Annual General Meeting appointed to the Company’s Supervisory Board of the 11th term of office the persons specified below, who were also members of the Company’s Supervisory Board of the tenth term of office:

- Ms Beata Kozłowska-Chyła – Chair

- Ms Katarzyna Lewandowska

- Mr Piotr Ciach

- Mr Dariusz Figura

- Mr Adam Lewandowski

- Mr Grzegorz Rybicki.

 

Ms Beata Kozłowska-Chyła has been a Member of the Company’s Supervisory Board since May 25th 2016. From June 30th 2016, she served as Chair of the Supervisory Board of the 9th and 10th term of office.

Graduate of the Faculty of Law and Administration of the University of Warsaw, Ms Kozłowska-Chyła obtained a PhD in law, followed by a post-doctoral degree (doctor habilitatus) in law. A lecturer at the Chair of Commercial Law of the Faculty of Law and Administration of the University of Warsaw. She is a legal counsel and a recommended arbitrator at the Arbitration Court at the National Chamber of Commerce in Warsaw.

Ms Kozłowska-Chyła has sat on the Supervisory Boards of PZU S.A., TFI PZU S.A. and PTE PZU S.A., and has twice served on the Management Board of PZU S.A. She has also served on the Management Board of PZU Życie S.A. She has held the position of Deputy Director of the Legal and Licensing Department at the Pension Fund Supervisory Authority and President of the Management Board of Polskie Wydawnictwo Ekonomiczne S.A. (a publishing house).

Currently, Ms Kozłowska-Chyła serves as Chair of the Grupa LOTOS S.A. Supervisory Board.

On March 12th 2020, she was appointed to the Management Board of PZU S.A. as President of the Management Board of Powszechny Zakład Ubezpieczeń Spółka Akcyjna.

She also serves as Chair of the Supervisory Board of Powszechny Zakład Ubezpieczeń na Życie Spółka Akcyjna, Chair of the Supervisory Board of Polska Kasa Opieki S.A., and Member of the Insurance Board of the Polish Insurance Guarantee Fund (Ubezpieczeniowy Fundusz Gwarancyjny).

Ms Beata Kozłowska-Chyła is a member of the Legislative Board of the Prime Minister, member of the Board of Entrepreneurship of the President of the Republic of Poland, and member of the Ownership Supervision Reform Committee of the Minister of State Assets. She also serves on the Board of the Polish Olympic Committee and the Social Sport Council of the Minister of Sport.

An author of several dozen professional publications on company, securities and insurance laws published in reputable Polish and foreign journals, as well as popularisation articles.

 

Ms Katarzyna Lewandowska was appointed as Member of the Company’s Supervisory Board of the 9th term of office on January 27th 2016. She also served on the Supervisory Board of the 10th term of office.

For more than 20 years during her professional career her focus has been on expanding her knowledge and experience in exercising ownership supervision over state-owned companies.

Graduate of the Faculty of Domestic Trade at the Warsaw School of Economics, Ms Lewandowska currently serves as Head of the Ownership Supervision Department of the Ministry of State Assets, responsible for carrying out ownership tasks with respect to, among others, companies of major importance for the national economy.

During her professional career, she has managed the work of the ownership supervision departments at the Ministry of Entrepreneurship and Technology and the Ministry of State Treasury.

At the Chancellery of the Prime Minister, in addition to exercising ownership supervision, she organised the work of the State Treasury Department by introducing systemic solutions for the exercise of supervision in accordance with the new legal order introduced under the Act on State Property Management. As part of her work at the Chancellery of the Prime Minister, as Head of the State Treasury Department, she coordinated the exercise of the State Treasury’s rights conferred by the equity interests held by the State Treasury.

Ms Lewandowska, currently serving on the Supervisory Board of KGHM S.A., has many years of experience as a member of supervisory bodies of commercial-law companies, including defence industry companies, as well as PZU S.A., Bank Ochrony Środowiska S.A.

 

Mr Piotr Ciach, appointed as Member of the Company’s Supervisory Board on December 22nd 2016, has sat on the Supervisory Board of the 9th and 10th term of office.

Graduate of the Faculty of Law at the Maria Curie-Sklodowska University in Lublin, Mr Ciach has also completed an MBA programme run by the Gdańsk Foundation for Management Development in cooperation with the IAE Aix-en-Provence Graduate School of Management. He holds the position of Division Head at the Supervision Department of the Ministry of State Assets.

Currently, Mr Ciach serves as Chair of the Supervisory Board of Spółka Restrukturyzacji Kopalń S.A. He has also sat on the Supervisory Boards of such companies as Polski Holding Obronny Sp. z o.o., Międzynarodowy Korporacja Gwarancyjna Sp. z o.o., Telefony Podlaskie S.A., Polska Grupa Zbrojeniowa S.A., and Tauron PE S.A.

 

Mr Dariusz Figura, appointed as Member of the Company’s Supervisory Board on January 27th 2016, has sat on the Supervisory Board of the 9th and 10th term of office, also serving as Chair of the Audit Committee of the Supervisory Board.

According to his representation, he meets the independence criteria.

Graduate of the Warsaw University of Technology (Faculty of Electronics and Information Technology), Mr Figura completed with honours an Executive MBA programme at Warsaw Business School of the Warsaw University of Technology (joint programme with the HEC School of Management - Paris, London Business School and Norwegian School of Economics).

Throughout his professional career, Mr Figura has been working in the private sector, including at large international corporations and as a UNIDO consultant.

His current position is that of Chief Financial Officer at a private joint-stock company, also in charge of IT maintenance and risk management at the company.

Mr Adam Lewandowski, appointed as Member of the Company’s Supervisory Board on December 22nd 2016, has sat on the Supervisory Board of the 9th and 10th term of office.

According to his representation, he meets the independence criteria.

Graduate of the University of Warsaw with a master’s degree in law, Mr Lewandowski is a legal counsel, member of the Regional Chamber of Legal Counsels in Warsaw.

He has gained professional experience working in the banking and financial sector (PeKaO S.A., BOŚ S.A., Bank Polskiej Spółdzielczości S.A., Krajowy Depozyt Papierów Wartościowych S.A. (central securities depository)). In 2006−2009, he was Executive Director of the Division of the President of the Management Board, Company Office Director responsible for supporting PGNiG S.A.’s corporate bodies, and HR Office Director.

In 2013-2018, he worked in management positions at the PGNiG Group. Since 2018, he has held management positions at the PGE Group.

Mr Grzegorz Rybicki was appointed as Member of the Company’s Supervisory Board of the 10th term of office on June 28th 2018.

According to his representation, he meets the independence criteria.

Grzegorz Rybicki is a graduate of the Faculty of Law and Administration of the University of Warsaw. In 1990-1992, he completed judge training at the Regional Court of Warsaw, and in 1992-1994 – legal  training as an attorney-at-law. Since 1995, he has worked as an attorney-at-law in a Warsaw-based law firm. In 1993, he completed training and internship for attorneys-at-law in Chicago, USA, organised by the American Bar Association, the Polish Bar Council, and DePaul University of Chicago.

In 1997-1998, he completed a post-graduate course in copyright, publishing and press law at the Faculty of Management and Social Communication of the Jagiellonian University, Institute of Intellectual Property Rights. Between 2001 and 2018, he was an arbitrator at the Copyright Commission appointed by the Minister of Culture and National Heritage.

Previously, he has served on the supervisory boards of large commercial-law companies. Since the beginning of his professional career, Mr Rybicki’s legal work has focused on a wide range of matters related to commercial and business law, as well as on legal support and advisory services to commercial-law companies.

According to the representations made by all members appointed to the Supervisory Board of the 11th term of office, they are not entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, they are not involved in any activity competing with Grupa LOTOS S.A.’s business, neither are they partners in any partnerships, or members of corporate bodies of any corporations, or members of governing bodies of any other legal entities competing with Grupa LOTOS S.A.
