Grupa LOTOS S.A. (the “Company”) announces that on August 20th 2020 the Company’s Supervisory Board appointed Mr Artur Cieślik as Vice President of the Company’s Management Board, Chief Strategy and Development Officer (as of 24thof August).
Mr Cieślik is a graduate of the Faculty of Law, Canon Law and Administration at the Catholic University of Lublin, and the Faculty of Law and Administration of the University of Warsaw in partnership with the University of Florida Fredric G. Levin College of Law, Center for American Law Studies. Participant of Executive Master of Business Administration postgraduate studies organised by the University of Gdańsk in cooperation with the Gdańsk Foundation for Management Development and Porto Business School.
Lawyer and manager with more than 20 years of professional experience gained working for capital market institutions, public companies and an international law firm.
His professional career began in 1997 at the Legal Department of the Warsaw Stock Exchange, where he was employed until 2004. Lecturer at the Faculty of Law and Administration of Lazarski University between 2000 and 2005. From 2004 to 2006, Mr Cieślik worked for SYGNITY S.A. Between 2006 and 2018, he worked for the international law firm DENTONS Europe Dąbrowski i Wspólnicy sp.k., first as Senior Associate and then Counsel. Since 2018, he has worked for PKN ORLEN S.A. as adviser to the Management Board and Executive Director for Strategy.
His specialty is securities law and commercial law. Mr Cieślik has served in advisory roles in connection with business acquisitions (both public and private companies), mergers, demergers and other types of business restructuring transactions. He has led IPOs for Polish and foreign issuers on a regulated market and has advised on other capital market issues in Poland and other European Union jurisdictions. He has extensive experience in M&A transactions.
During his work for PKN ORLEN S.A., he was responsible, among others, for the process of securing a conditional clearance from the European Commission for the concentration consisting in PKN ORLEN S.A. taking control of Grupa LOTOS S.A., for developing and implementing the strategy, supervising the execution of strategic projects, and for preparing and implementing equity investments.
He speaks English and Russian.
Mr Artur Cieślik has made a statement to the effect that he is not entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, he is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is he a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.
