The Management Board of Grupa LOTOS S.A. hereby reports that pursuant to a resolution of the Supervisory Board of Grupa LOTOS S.A., dated May 29th 2006, Ernst & Young Audit Sp. z o.o., registered office at Rondo ONZ 1, Warsaw, Poland, entered on the list of qualified auditors of financial statements maintained by the National Chamber of Chartered Auditors under Reg. No. 130, has been appointed to audit the Company’s financial statements for 2006. The Supervisory Board of Grupa LOTOS S.A. made the appointment acting pursuant to Par. 13.2.4 of the Company’s Articles of Association and Par. 2.1.4 of the Rules of Procedure for the Supervisory Board. The agreement with the qualified auditor will be concluded for one year and will provide for the following scope of assignment: - audit of the 2006 financial statements of Grupa LOTOS S.A., prepared in accordance with the International Financial Reporting Standards; - audit of the consolidated financial statements of the LOTOS Group, prepared in accordance with the International Financial Reporting Standards; - review of the semi-annual financial statements of Grupa LOTOS S.A. for the first half of 2006, prepared in accordance with the International Financial Reporting Standards; - review of the semi-annual consolidated financial statements of the LOTOS Group for the first half of 2006, prepared in accordance with the International Financial Reporting Standards. Ernst & Young Audit Sp. z o.o. had previously provided Grupa LOTOS S.A. with services relating to the audit of financial statements for 2002–2005, audit of financial statements prepared for the purposes of the issue prospectus, issuance of statements required to prepare the issue prospectus in 2005, and assistance in the implementation of the International Accounting Standards.
