The Management Board of Grupa LOTOS S.A. hereby reports that on December 4th 2006 Mr Leszek Stokłosa was appointed a proxy and authorised to represent Grupa LOTOS S.A. and make declarations of will on its behalf acting together with a Member of the Management Board. Since 1990 Leszek Stokłosa worked and studied in the United States (Lewis University). After gaining a university degree in business management and, subsequently, completing an MBA course in corporate finance and marketing, he started to work in the banking sector (MidAmerica Federal Savings Bank, Oak Brook Bank). The positions he held after his return to Poland were as follows: Deputy Director of Sales at HOOP S.A. (1998–1999), and Head of Marketing, Business Development and Investment in the Kęty S.A. Group (1999–2000). Subsequently, in the years 2000–2003, Mr Stokłosa worked as a consultant, cooperating with Innova Capital and Raiffeisen Private Equity Management investment funds. In 2003–2006, he was President of the Management Board and Chief Executive Officer at LOTOS Oil S.A. (a wholly-owned subsidiary of Grupa LOTOS S.A.). Since November 2006, Mr Stokłosa has held the position of Deputy Chief Executive Officer in Charge of Strategy and Corporate Support at Grupa LOTOS S.A. Leszek Stokłosa is not entered into the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register and does not conduct business activities competitive to the Company’s business.
