The Management Board of Grupa LOTOS SA hereby reports that as at 12 September 2005 a significant contract was concluded between Grupa LOTOS SA and Rafineria Jasło S.A. (a subsidiary with 80.01% of its shares held by Grupa LOTOS SA) concerning the sale of liquid fuels to Rafineria Jasło S.A. The contract was concluded for a limited period of time. The contract expires on 31 December 2006. The estimated value of the contract throughout the period of its validity amounts to PLN 725,739 thousand. In the case of failure to receive or supply at least 90% of the order, Grupa LOTOS or Rafineria Jasło respectively shall have the right to demand that the opposite party pay a contractual penalty in the amount of PLN 20 for each cubic metre of fuel. Upon the date of signing the contract referred to above, the contract concerning the sale of liquid fuels concluded between Grupa LOTOS SA and Rafineria Jasło S.A. on 5 February 2004 is dissolved. The contract referred to above is considered significant due to its value in excess of 10% of own capital of Grupa LOTOS SA. The value of the contract in PLN thousand: 725,739.00
