The Management Board of Grupa LOTOS S.A. (“Company”) announces that on May 25th 2016 it was notified that the State Treasury (Company shareholder), acting under Art. 11.2 of the Company’s Articles of Association, appointed Mrs. Beata Kozłowska - Chyła to the Supervisory Board of Grupa LOTOS S.A. for the ninth joint term of office, with effect from May 26th 2016.

Mrs Beata Kozłowska-Chyła - a PhD (holder a higher doctoral degree) in law and lecturer at the Faculty of Law and Administration of the University of Warsaw, of which she is also a graduate. In 1994−1997, she completed a legal counsel trainee programme and was entered in the register of legal counsels maintained by the District Chamber of Legal Counsels in Warsaw. She served as acting Director of Przedsiębiorstwo Państwowe Uzdrowisko Konstancin, a state-owned medical spa of Konstancin-Jeziorna. She was deputy Director of the Legal and Licensing Department of the Pension Fund Supervision Authority (UNFE). She also served as an advisor to the Minister of Finance. She was a member of the Supervisory Board and then a member of the Management Board of PZU SA. She also served as a member of the Supervisory Boards of TFI PZU SA and PTE PZU SA, and member of the Supervisory Board of Telewizja Polska S.A. She provided legal advisory services in a law firm. Since 2010, she has been a Recommended Arbitrator of the Arbitration Court at the Polish Chamber of Commerce in Warsaw. She has authored numerous publications on company law, securities law, ownership transformation and privatisation of state-owned enterprises. She has also prepared expert legal opinions commissioned by the Polish Parliament, including on a draft bill on financial market supervision. She has a teaching job at the Faculty of Law and Administration of the University of Warsaw.

Currently, she serves as a member of the Management Boards of PZU SA and PZU Życie SA. In addition, she is a member of the Audit Committee of the Polish Insurance Association.
According to her representation, Mrs. Beata Kozłowska - Chyła has not been entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, she is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is she a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.
