Changes in the composition of the Management Board of Grupa LOTOS S.A.

In connection with the conclusion of the recruitment procedure for the positions of members of the Grupa LOTOS Management Board of the 10th term of office, Grupa LOTOS S.A. (the “Company”) announces that on May 18th 2018 the Company’s Supervisory Board shortened the duration of the 9th term of office of the Management Board; dismissed, as of May 21st 2018, the current members of the Management Board, i.e. Mr Mateusz Aleksander Bonca and Mr Jarosław Paweł Kawula; and revoked, as of May 21st 2018, the delegation of Mr Piotr Ciach, Member of the Supervisory Board, to temporarily perform duties of a Member of the Grupa LOTOS Management Board of the 9th term. Further, the Supervisory Board appointed the following persons to the Management Board of the 10th term of office:

Mr Mateusz Aleksander Bonca – as President of the Management Board, with effect as of May 22nd 2018. In 2016–2018, Mr Bonca was responsible for the Strategy and Development division, and since March 2018 has been in charge of the Finance division. In 2016–2018, responsible for the Strategy and Development division, and since March 2018 – in charge of the Finance division. Mr Bonca, born in Gdynia, is a leader with long-standing experience in providing management and strategic advisory services to leading industrial and financial companies in Europe (including Poland), Africa and the Middle East. Between 2012 and 2016, he worked in Frankfurt am Main as Director at Deutsche Bank AG (most recently – Director at Group Management Consulting). Earlier, in 2010–2012, employed as manager at Peppers and Rogers Group Middle East in Dubai, and in 2004–2010 at McKinsey & Company as consultant and senior consultant with project experience in numerous countries. Outside Poland, Mr Bonca developed and implemented strategic changes in a number of corporations in the Czech Republic, United Kingdom, Italy, United Arab Emirates, Saudi Arabia, Bahrain, Belgium, South Africa, Turkey, and other countries. He supervised global projects and coordinated teams working simultaneously on several continents. A graduate of the Warsaw School of Economics (2004), he also studied at Al Akhawayn University in Morocco. Holds a PhD degree in Economics (with honours, from ALK, class of 2009). Has authored publications and papers delivered at international conferences. Completed courses for Financial Analysts, Securities Brokers, etc.; and also undertook numerous specialist training courses at McKinsey & Company, and in-house management trainings at Deutsche Bank AG. He was an intern at Deloitte & Touche and MARSH. He is fluent in English (as a holder of an International Baccalaureate Diploma, and having worked for multiple years exclusively in that language). He also has a good command of German (having worked at DB AG in Frankfurt am Main), and has mastered the basics of Arabic – both standard and Moroccan variety (language courses at the Arabic Language Institute in Fez, Morocco, his studies at Al Akhawayn, and several years of work experience in the Gulf countries). Member of the Strategic Management Society; Council of the Polish Chamber of Chemical Industry and European Refining Technology Conference Advisory Board. Nonpartisan member of the Law and Justice Party’s Programme Board.  Nonpartisan;

Mr Jarosław Paweł Kawula – as Vice President of the Management Board, Chief Refining and Marketing Officer, with effect as of May 22nd 2018.Vice President of the Management Board of Grupa LOTOS S.A. since January 12th 2017, Member of the Management Board of the 9th term. Mr Kawula holds Master of Science in Engineering and Ph.D. in Chemistry degrees from the Gdańsk University of Technology (the Faculty of Chemistry and the Faculty of Management and Marketing). He also holds an MBA degree from the Gdańsk Foundation for Management Development. Since the beginning of his professional career, Mr Kawula has worked at the Grupa LOTOS refinery in Gdańsk, holding management positions connected with crude oil processing and production control; and

Mr Patryk Jerzy Demski – as Vice President of the Management Board, Chief Investment and Innovation Officer, with effect as of May 22nd 2018. Mr Demski is a graduate of the Faculty of Law and Administration, Nicolaus Copernicus University in Toruń.  Since 2014 he has served as Mayor of the Pelplin Municipality. Member of the council of the Polish Tourist Organisation since 2018, and member of the Supervisory Board of the Provincial Fund for Environmental Protection and Water Management in Gdańsk since 2017. From 2006 to 2014, Mr Demski was Deputy Branch Manager, acting Deputy Branch Manager, and Chief Specialist at the Gdańsk field branch of the Agricultural Property Agency. In 2011-2014, he served on the Supervisory Board of Zakład Gospodarki Mieszkaniowej Sp. z o.o. in Tczew. In 2006, Mr Demski was Deputy Director of the Pomeranian Governor's Office in Gdańsk.   

The Management Board members submitted representations to the effect that they are not entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, are not involved in any activity competing with Grupa LOTOS S.A.'s business, and are not partners in any partnerships, including partnerships under civil law, or members of corporate bodies of any corporations, or members of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

This current report is published pursuant to Par. 5.5 of the Minister of Finance’s Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated March 29th 2018.
