Changes in Grupa LOTOS Management Board

The Management Board of Grupa LOTOS S.A. (the “Company”) announces that on July 24th 2019 the Supervisory Board of Grupa LOTOS S.A. appointed the following persons to the Company’s Management Board of the 10th joint term of office (with effect from July 25th 2019): Ms Zofia Maria Paryła, as Vice President of the Management Board, Chief Financial Officer, and Mr Marian Roman Krzemiński, as Vice President of the Management Board, Chief Investment and Innovation Officer.

Ms Zofia Paryła holds an Executive Master of Business Administration (Executive MBA) degree, awarded by Collegium Humanum – Warsaw Management University and Apsley Business School in London. She holds an MA degree from the Cracow University of Economics, having completed accounting studies at the Management Department.

She started her professional career in 1985, at Krajowa Państwowa Komunikacja Samochodowa (public transport company) of Kraków. Between 1997 and 2017, she worked for Elektroplast Sp. z o.o., including as Chief Accountant in 2010-2017. Between 2017 and 2019, she served as Vice President of the Management Board at Energa Centrum Usług Wspólnch Sp. z o.o.

Ms Paryła holds numerous certificates confirming her management, bookkeeping and accounting skills, as well as a certificate confirming completion of training for candidates for members of supervisory bodies of state-owned companies.

Ms Zofia Paryła speaks English and Russian.

Mr Marian Krzemiński is a graduate of Wrocław University of Technology and Central Connecticut State University.

He began his professional career in 1985 at Polkowice Mining Company, a branch of KGHM Polska Miedź S.A. in Lubin, where in 1999-2002 he held the position of President of the Management Board and CEO. He also worked for the Second National Investment Fund in Warsaw (Investment Director/Commercial Proxy), cooperated with Ernst&Young on internal audit, and conducted advisory projects for the BNP Paribas Assurance Group. He also provides advisory and consulting services as a sole proprietor. In 2016-2019, he served as Adviser to the Management Board of Polski Fundusz Rozwoju S.A.

He has excellent skills in data processing, applying mathematics and statistics in economics and management, modelling and optimisation of operational processes, project management, analysis of sales, client portfolios and related risk, as well as business intelligence. He holds special competencies in project and business management, strategic and marketing planning, market analysis, and economic analysis.

Marian Krzemiński speaks English.

The newly appointed Vice Presidents of the Management Board are not entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, are not involved in any activity competing with Grupa LOTOS S.A.’s business, and are not partners in any partnerships, including partnerships under civil law, or members of corporate bodies of any corporations, or members of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

This current report is published pursuant to Par. 5.5 of the Minister of Finance’s Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated March 29th 2018.
