The Management Board of Grupa LOTOS S.A. hereby reports that on February 18th 2008 Mr Jacek Neska was appointed proxy authorised to represent Grupa LOTOS S.A. and make declarations of will on its behalf together with a member of the Management Board of Grupa LOTOS S.A. Mr Neska has worked for the LOTOS Group since 2005. In 2006, he was appointed President of the Management Board of LOTOS Oil S.A., a subsidiary, a leading company on the Polish oil and lubricant market. Mr Neska graduated from the Faculty of Management and Marketing at the Katowice University of Economics. In 1996, he commenced his professional career as a consultant and manager at the international advisory company Arthur Andersen, coordinating and supervising projects in the automotive industry, metallurgy, transport services, energy sector and telecommunications. Mr Neska was responsible for conducting due diligence examinations for investors. He executed projects for Polish as well as international corporations. As part of the cooperation with the World Bank and European Bank for Reconstruction and Development, Mr Neska supervised a number of projects concerning reorganisation and restructuring of enterprises. In 2002-2005, he worked for private equity and venture capital funds, such as Innova Capital and Enterprise Investors, holding executive positions at their portfolio companies. Mr Neska is a qualified auditor. Mr Jacek Neska is not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register and does not conduct any activities competitive in relation to Grupa LOTOS S.A. He is not a partner in any civil-law or other partnership competitive to Grupa LOTOS S.A. and does not sit on the governing bodies of any company or other legal person competitive in relation to Grupa LOTOS S.A.
