Appointment of the Supervisory Staff at Grupa LOTOS S.A.

The Management Board of Grupa LOTOS S.A. hereby reports that the following persons were appointed today to serve on Grupa LOTOS S.A.’s Supervisory Board of the seventh term of office:

 
- Mr Oskar Pawłowski – Member of the Supervisory Board,
- Mr Michał Rumiński – Member of the Supervisory Board,
- Mr Rafał Wardziński – Member of the Supervisory Board.

 
Oskar Pawłowski is a graduate of the Faculty of Law and Administration at the Adam Mickiewicz University of Poznań, Poland (1998), with a major in corporate law, energy law, antimonopoly law, public procurement, investment process management, civil law, real estate and new technologies law.
In 1999, Mr. Pawłowski was awarded a diploma of Cambridge University, majoring in British and EU law; in 2006, he completed legal counsel training held by the Board of the District Chamber of Legal Counsels in Poznań and is entered in the list of legal counsels.
Currently, Mr. Pawłowski manages and runs Oskar Pawłowski/Oskar Pawłowski i Wspólnicy law firm; formerly he was a lawyer at Włodzimierz Głowacki law firm (2003–2007), D. Janczak i Wspólnicy / Domański Zakrzewski Palinka Sp.k. – Ernst & Young Law Alliance – Energy Group (2002–2003), Głowacki, Grynhoff, Hałaziński s.j law firm (2000–2002), Kazimierz Małkowski law firm (1999–2000) and Bogusław Kański law firm (1998–1999).
He authored the following papers: “The Rights of Electricity Consumers and the Methods of Protecting Them” in Rynek Energii (2/2009); “Legal Due Diligence of Real Estate” in Inwestor (1/2010). Fluent speaker of English.

Michał Rumiński holds a master’s degree in law and administration of the Warsaw University (1998), master’s degree in economics from the Warsaw School of Economics (SGH), and an MBA degree from University of Chicago, Booth School of Business (2009).
Since 2007, Mr. Rumiński has cooperated with MCI Euroventures (investment fund), holding the following positions: Investment Partner, Member of the Management Board of ABC Data Holding S.A., President of the Management Board and Managing Partner of Cleantech Venture Partners, Member of the Supervisory Board of Grupa Lew Sp. z o.o., Deputy Chairman of the Supervisory Board of Bankier.pl.
In 2000–2007, Mr. Rumiński worked for the KBC Group as Corporate Finance Director; in 2004, Mr. Rumiński served as Head of the Investment Banking Division at Kredyt Bank S.A.; in 2000-2004, he was employed as Project Manager at Kredyt Bank S.A.’s Investment Banking Department; prior to that, in 1999–2000 he was a specialist at the Capital Markets Department of Bank Współpracy Europejskiej S.A. Fluent speaker of English.
He is the author of the following publications: “The 1997 Currency Crisis vs. Restructuring of the Financial and Enterprise Sectors in South Korea”, Narodowy Bank Polski (September 2004); “Free Flow of Capital in the European Community” INFOR (February 2000).

Rafał Wardziński holds a master’s degree from the Jean Monnet European Integration Department of the Szczecin University; he completed supplementary studies at the Faculty of Law of the University of Liège in Belgium. He was also awarded a scholarship funded by the European Commission.
Currently, Mr. Wardziński is Deputy Director of the Department of Corporate Supervision and Privatisation I at the Ministry of State Treasury  – he is in charge of supervision of companies in the gas and oil sector. He held various positions in the past, including Chairman of the Supervisory Board of PERN Przyjaźń S.A. and member of the Supervisory Board of Kopalnie i Zakłady Chemiczne Siarki Siarkopol S.A. Currently, Mr. Wardziński is a member of the Supervisory Board of Operator Gazociągów Przesyłowych GAZ – SYSTEM S.A.
He has experience of working at local- and central-government institutions. In 2004–2007, Mr. Wardziński worked as a consultant for the European Parliament Committee on Industry, Research and Energy in Brussels. Fluent speaker of English and French.

Information on non-inclusion in the Register of Insolvent Debtors maintained pursuant to the Polish National Court Registry Act and non-engagement in activities competitive to the Company’s business will be published immediately upon receipt of relevant representations.
