Appointment of member of the Supervisory Board of Grupa LOTOS S.A.

The Management Board of Grupa LOTOS S.A. (the Company) hereby reports that acting on the basis ofPar.11.2 of the Company's Articles of Association, the State Treasury (a shareholder in the Company) appointed Mr Wiesław Skwarko to the Supervisory Board of Grupa LOTOS S.A. for the joint eighth term of office, with effect from the date of the Annual General Shareholders Meeting convened for June 27th 2011.


Wiesław Skwarko graduated from the Faculty of Foreign Trade of the Warsaw School of Economics. In 1987-1994, he was a junior lecturer at the Warsaw School of Economics. From 1990 to 1999, he was partner at Access Sp. z o.o., then became member of the Management Board of Rothschild Polska Sp. z o.o. In 2005–2006, Mr Skwarko served as Head of the Privatisation Office at Nafta Polska S.A. In 2006, he took the position of the Financial Strategy and Capital Development Director, initially at CTL Maczki Bór of Sosnowiec and then at CTL Logistics S.A. of Warsaw. From January 10th 2008 to December 31st 2009 Mr Skwarko was member of the Management Board of Nafta Polska S.A., and from January 1st 2010 to the end of April 2011 he acted as the liquidator at Nafta Polska S.A. w likwidacji (in liquidation). Since October 27th 2010, he has served as Vice-President of the Management Board of ZAK S.A. of Kędzierzyn Koźle. Mr. Skwarko is currently the Chairman of the Supervisory Board of Grupa LOTOS S.A.

The Management Board of Grupa LOTOS S.A. also reports that Mr Wiesław Skwarko made a representation to the effect that he is not entered in the Register of Insolvent Debtors maintained on the basis of the National Court Register Act and does not conduct any activities competitive with respect to the activities of Grupa LOTOS S.A., and further that he is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the business of Grupa LOTOS S.A.

The legal basis for the publication of this Current Report is Par. 5.1.22 of the Minister of Finance’s Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated February 19th 2009.
