Changes in the composition of the Supervisory Board of Grupa LOTOS S.A.

The Management Board of Grupa LOTOS S.A. (the “Company”) announces that today, on June 30th 2015, the Annual General Meeting, resumed after adjournment, removed Ms Magdalena Bohusz-Boguszewska from the Grupa LOTOS S.A. Supervisory Board of the ninth joint term of office, and appointed in her place Ms Katarzyna Iskra as Member of the Supervisory Board.

Ms Katarzyna Iskra is a graduate of law from the Higher School of Law and Administration of the Adam Mickiewicz University of Poznań; she also completed the German Law Studies at the Adam Mickiewicz University and graduated from the National School of Public Administration of Warsaw. Since 2003, she has been employed at the Ministry of the State Treasury, where she has held various posts related to ownership transformations, innovation and development, and owner supervision. Currently, she serves as the Minister’s Counsel at the State Treasury Ministry’s Key Companies Department.

She has expertise in companies law and owner supervision, gained as a member of supervisory bodies of commercial law companies, including as Deputy Chairwoman of the Supervisory Boards of Totalizator Sportowy Sp. z o.o. and Zarząd Morskiego Portu Gdańsk S.A., and member of the Supervisory Boards of Elektrownia Chorzów S.A. and Lubuskie Zakłady Aparatów Elektrycznych LUMEL S.A.

Currently, she serves as Chairwoman of the Supervisory Board of Przedsiębiorstwo Budownictwa Przemysłowego Chemobudowa-Kraków S.A.

According to her representation, Ms Katarzyna Iskra has not been entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, she is not involved in any activity competing with Grupa LOTOS S.A.’s business, neither is she a partner in any partnerships, or member of corporate bodies of any corporations, or member of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

The legal basis for the publication of this Current Report is Par. 5.1.21−22 of the Minister of Finance’s Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated February 19th 2009.
