Appointment of Supervisory Board of Grupa LOTOS S.A. for tenth term of office

The Management Board of Grupa LOTOS S.A. (the "Company") announces that on June 14th 2017, the Annual General Meeting appointed the persons listed below to the Supervisory Board of Grupa LOTOS S.A. of the tenth term of office and resolved that the Supervisory Board be composed of eight members. The persons served on the Supervisory Board of the ninth term:

- Ms Beata Kozłowska-Chyła

- Ms Katarzyna Lewandowska,

- Ms Agnieszka Szklarczyk-Mierzwa,

- Mr Dariusz Figura,                             

- Mr Mariusz Golecki,

- Mr Piotr Ciach,

- Mr Adam Lewandowski. 

Ms Beata Kozłowska-Chyła

Member of the Supervisory Board of Grupa LOTOS S.A. since May 25th 2016. Since June 28th 2016, Chairperson of the Supervisory Board of the ninth term of office.

Ms Beata Kozłowska-Chyła holds a PhD degree in law and is a lecturer at the Faculty of Law and Administration of the University of Warsaw, from which she graduated. In 1994−1997, she completed legal training, obtained formal qualifications as legal counsel and was entered in the list of legal counsels maintained by the District Chamber of Legal Counsels in Warsaw. In the course of her career, she served as acting Director of Przedsiębiorstwo Państwowe Uzdrowisko Konstancin of Konstancin-Jeziorna, a state-owned medical spa company. She also worked as Deputy Head of the Legal and Licensing Department at the Pension Fund Supervisory Authority (UNFE). Ms Kozłowska-Chyła served as adviser to the Minister of Finance. She was a member of the supervisory board of PZU SA (Poland's leading insurance group), and then a member of its management board. She also served as member of the supervisory boards of investment fund management company TFI PZU SA and pension fund company PTE PZU SA, and also as member of the supervisory board of Polish national television Telewizja Polska S.A. She provided legal advisory services at the Legal Counsel's Office. Since 2010, she has been a Recommended Arbitrator at the Arbitration Court of the Polish Chamber of Commerce in Warsaw. She has authored numerous publications on company law, securities law, ownership transformation and privatisation of state-owned enterprises. She has also prepared expert legal opinions commissioned by the Polish Parliament, including on a draft bill on financial market supervision. She has a teaching job at the Faculty of Law and Administration of the University of Warsaw.

Ms Katarzyna Lewandowska

Ms Lewandowska has served on the Supervisory Board of Grupa LOTOS S.A. since January 27th 2016, as a Member of the Supervisory Board of the ninth term of office.

Graduate of Warsaw School of Economics. Since 1996, she has been employed at the Ministry of Treasury, where she has gained extensive experience in owner supervision of companies across a number of industries, including defence companies, operators of key Polish seaports, operator of the national lottery (state-run monopoly), and coal mining companies. At present, she holds the position of Deputy Head of the State Treasury Department at the Chancellery of the Prime Minister.

Ms Lewandowska comes with long-standing experience in corporate law and corporate governance, also gained on supervisory bodies of commercial companies. Currently, she is the Chairperson of the supervisory board of PZU S.A.

Ms Agnieszka Szklarczyk-Mierzwa

Ms Szklarczyk-Mierzwa has served on the Supervisory Board of Grupa LOTOS S.A. since June 28th 2016, as a Member of the Supervisory Board of the ninth term of office.

Graduate of law at the Jagiellonian University in Kraków (Faculty of Law and Administration, 2004), and National School of Public Administration in Warsaw (2007). Legal counsel, completed training at the Regional Chamber of Legal Counsels of Warsaw.  In 2007−2009, she worked as chief specialist at the Department of International Cooperation and European Law at the Ministry of Justice. In 2009−2015, she was chief specialist at the Oil and Gas Department at the Ministry of Economy. At present, she serves as Head of the Oil and Gas Department at the Ministry of Energy. Ms Szklarczyk-Mierzwa has experience in international public and private law, EU law, as well as business and energy law, with particular expertise in regulations governing fuel security and cooperation in this area.

Mr Dariusz Figura

Mr Figura has served on the Supervisory Board of Grupa LOTOS S.A. since January 27th 2016, as a Member of the Supervisory Board of the ninth term of office.

Graduate of Warsaw University of Technology (Faculty of Electronics and Information Technology), completed an Executive MBA programme at Warsaw Business School of Warsaw University of Technology (joint programme, with HEC Paris, London Business School and the Norwegian School of Economics).

Mr Figura has spent his entire professional career to date working in the private sector, including at large international corporations and as a UNIDO consultant.

Currently, he serves as a vice president at an IT company, in charge of finance, IT maintenance and risk management.

Mr Mariusz Golecki

Mr Golecki has served on the Supervisory Board of Grupa LOTOS S.A. since June 28th 2016, as a Member of the Supervisory Board of the ninth term of office.

PhD in law, professor and Head of Cognitive Research on Law at the University of Łódź (Law and Administration Faculty). His field of expertise covers economic and behavioural analysis of law, comparative law and theory of law. Since 2011, he has worked as lecturer at the Warsaw School of Economics (European Master in Law and Economics programme) and has been a member of the management board of the Polish Association of Law and Economics.

Graduate of Faculty of Law and Administration, University of Warsaw (1998), and Faculty of Law, the University of Cambridge (Trinity College, 2002).  In 1998−2000, Mr Golecki served as adviser at the Ministry of Culture and Fine Arts/National Heritage. In 2000 and 2001, he worked as expert at the Programme Department of the Prime Minister Chancellery and the Ministry of Finance. In 2002–2003, Mr Golecki was a European Commission scholar at the Institute of Law and Economics, University of Hamburg, in 2004–2008 he worked as assistant professor at the Economics Department of the Wyższa Szkoła Biznesu - National Louis University in Nowy Sącz, and in 2008–2009 he was a visiting professor at the Centre for European Legal Studies of the Law Faculty at the University of Cambridge.  In 2010, he was a visiting professor at the International Christian University of Tokyo and held the Jean Monnet Chair for EU Law at the Keio University in Japan.  In 2013−2014, Mr Golecki was also a visiting professor at the Faculty of Law of the University of Debrecen, Hungary.

In 2015–2017, he worked as attorney-at-law at the Warsaw Bar Association, and since January 2017,  he has been a Counsel at Prokuratoria Generalna Rzeczypospolitej Polskiej. In 2016–2017, Director of the Legal Department of the Polish Ministry of Finance. Since January 2017, Mr Golecki has worked as Head of the International and European Law Department at PGRP. In 2016–2017, he served as Deputy Chairman of the Polish delegation in Working Group V of the United Nation Commission on International Trade Law (UNCITRAL). Since October 2016, he has been Chairman of the Tax Evasion Board at the Ministry of Finance and Development.

Mr Piotr Ciach

Mr Ciach has served on the Supervisory Board of Grupa LOTOS S.A. since December 22nd 2016, as a Member of the Supervisory Board of the ninth term of office.

Graduate of the Faculty of Law at the Maria Curie-Skłodowska University of Lublin. He completed the MBA programme organised by the Gdańsk Foundation for Management Development in association with the IAE Aix-en-Provence Graduate School of Management. He serves as Division Head at the Supervision Department of the Polish Ministry of Energy.

At present, he serves as member of the supervisory board at Spółka Restrukturyzacji Kopalń S.A. Mr Ciach has served on the supervisory boards of a number of companies, including Polski Holding Obronny Sp. z o.o., Międzynarodowa Korporacja Gwarancyjna Sp. z o.o., Telefony Podlaskie S.A., Polska Grupa Zbrojeniowa S.A. and Tauron PE S.A.

Mr Adam Lewandowski

Mr Lewandowski has served on the Supervisory Board of Grupa LOTOS S.A. since December 22nd 2016, as a Member of the Supervisory Board of the ninth term of office.

He graduated from the University of Warsaw with a Master's in Law. He is a Legal Counsel, member of the Regional Chamber of Legal Counsels in Warsaw.

Mr Lewandowski has gained professional experience working for banking and financial institutions (PEKAO S.A., BOŚ S.A., Bank Polskiej Spółdzielczości S.A. and Krajowy Depozyt Papierów Wartościowych S.A. − the central securities depository). In 2006−2009, he was Executive Director of the CEO Division, Company Office Director responsible for supporting PGNiG corporate bodies, and HR Office Director. In 2013−2015, he was Head of the HR Department at PGNiG S.A. Since 2016, he has headed the Enterprise Management Division at PGNiG Termika S.A.

According to the representations made by the new members of the Supervisory Board of Grupa LOTOS S.A., they are not entered in the Register of Insolvent Debtors maintained under the Act on the National Court Register, they are not involved in any activity competing with Grupa LOTOS S.A.'s business, neither are they partners in any partnerships, or members of corporate bodies of any corporations, or members of governing bodies of any other legal entities competing with Grupa LOTOS S.A.

This current report is published pursuant to Par. 5.1.22 of the Minister of Finance’s Regulation on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information whose disclosure is required under the laws of a non-member state, dated February 19th 2009.
